1. Agreement to Terms

Welcome to Lyvona. These Terms of Use (“Terms”) govern your access to and use of the Lyvona website, mobile application, and related services (collectively, the “Platform”), operated by Lyvona LLC (“Lyvona,” “we,” “us,” or “our”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

Please read these Terms carefully before using our Platform. These Terms include important information about your legal rights, remedies, and obligations. By using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

Lyvona provides a pregnancy cost transparency platform designed to help expectant mothers and families understand, plan for, and manage pregnancy-related medical expenses. Our services include:

Cost Calculation Tools: Lumin AI, our artificial intelligence-powered tool, provides personalized pregnancy cost estimates based on your insurance plan, geographic location, anticipated delivery type, and other factors you provide.

Bill Verification Services: You may upload medical bills and Explanation of Benefits (EOB) documents for automated analysis to identify potential billing errors, duplicate charges, coding issues, and other discrepancies.

Dispute Assistance: We provide tools, templates, scripts, and optional guided support to help you dispute potentially erroneous medical charges with providers and insurers.

Educational Content: We offer guides, articles, and resources about medical billing, insurance navigation, and pregnancy-related healthcare costs.

Community Features: Our platform includes forums and community spaces where users can share experiences, ask questions, and support one another.

3. Important Disclaimers

3.1 Not Medical Advice

Lyvona does not provide medical advice, diagnosis, or treatment recommendations. The Platform is designed solely to help you understand and manage the financial aspects of pregnancy-related healthcare. Always consult qualified healthcare providers for medical decisions. Nothing on this Platform should be construed as medical advice or used as a substitute for professional medical consultation.

3.2 Not Legal or Financial Advice

The information provided through our Platform, including cost estimates, bill analysis, and dispute guidance, is for informational purposes only and does not constitute legal, financial, tax, or insurance advice. We recommend consulting with qualified professionals for specific legal, financial, or insurance matters. Lyvona is not a law firm, accounting firm, or insurance agency.

3.3 Cost Estimates Are Approximations

All cost calculations and estimates provided by Lumin AI are approximations based on the information you provide and available data. Actual costs may vary significantly based on factors including but not limited to: your specific insurance plan terms, provider billing practices, unexpected medical circumstances, changes in your coverage, and regional pricing variations. Lyvona does not guarantee the accuracy of any cost estimates.

3.4 Bill Verification Limitations

Our bill verification service identifies potential errors based on common billing patterns and the information you provide. We cannot guarantee that all errors will be detected or that identified issues are definitively errors. You are responsible for verifying information and making decisions about whether to dispute charges.

4. Eligibility and Account Registration

4.1 Age Requirement

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

4.2 Account Creation

To access certain features of the Platform, you must create an account. When creating an account, you agree to provide accurate, current, and complete information, maintain and promptly update your account information, maintain the security of your password and accept all responsibility for activities that occur under your account, and notify us immediately of any unauthorized use of your account.

4.3 Account Security

You are responsible for safeguarding your account credentials and for any activities or actions under your account. Lyvona will not be liable for any loss or damage arising from your failure to comply with this security obligation.

5. User Responsibilities and Acceptable Use

5.1 Accurate Information

You agree to provide accurate and complete information when using our services, including insurance details, medical bills, and personal information. The accuracy of our cost estimates and bill verification depends on the accuracy of the information you provide.

5.2 Lawful Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform in any way that violates any applicable federal, state, local, or international law or regulation, to engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Platform, to impersonate or attempt to impersonate Lyvona, a Lyvona employee, another user, or any other person or entity, to upload or transmit viruses, malicious code, or any other harmful material, or to attempt to gain unauthorized access to any portion of the Platform.

5.3 Community Guidelines

When participating in community features, you agree to treat other users with respect and courtesy, not share content that is false, misleading, defamatory, or harmful, not share medical advice or represent yourself as a healthcare professional unless you are licensed and clearly identify yourself as such, not share other users’ personal information without their consent, not use the community for commercial solicitation or spam, and report violations of these guidelines to Lyvona.

6. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy.

We are committed to protecting your health information and complying with applicable privacy laws, including following HIPAA guidelines for protected health information.

7. Intellectual Property Rights

7.1 Lyvona's Intellectual Property

The Platform and its entire contents, features, and functionality, including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, are owned by Lyvona, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 Limited License

Subject to your compliance with these Terms, Lyvona grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use.

7.3 User Content

You retain ownership of content you submit to the Platform, including community posts and uploaded documents. However, by submitting content, you grant Lyvona a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving our services.

8. Fees and Payment

8.1 Service Fees

Lyvona may offer both free and paid services. Specific features may require a subscription or one-time payment. All fees will be clearly disclosed before you incur any charges.

8.2 Founding Member Program

Founding members who join during our initial launch period may receive special benefits and pricing as disclosed at the time of enrollment. Terms specific to the Founding Member program will be provided separately.

8.3 Refund Policy

Refund policies will be disclosed at the time of purchase for any paid services. Generally, subscription fees are non-refundable except as required by law or as specifically stated in the applicable service terms.

9. Dispute Resolution Services

9.1 DIY Dispute Tools

We provide templates, scripts, and guidance for disputing medical bills on your own. You are solely responsible for the content of communications you send to providers and insurers and for the outcome of any disputes.

9.2 Guided and Done-For-You Services

For certain service tiers, we may offer more hands-on dispute assistance. The scope and terms of such services will be clearly defined at the time of purchase. Even with assisted services, outcomes cannot be guaranteed as decisions rest with providers and insurers.

9.3 No Guarantee of Results

Lyvona does not guarantee any specific outcome from using our dispute services. Success depends on many factors outside our control, including provider policies, insurer decisions, and the specific circumstances of your bills.

10. Limitation of Liability

You agree to defend, indemnify, and hold harmless Lyvona and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Platform.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Platform prior to the changes becoming effective. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes.

13. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the American Arbitration Association’s rules, except that you may assert claims in small claims court if your claims qualify.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Platform, constitute the entire agreement between you and Lyvona concerning your use of the Platform.

15.2 Waiver and Severability

No waiver by Lyvona of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition. If any provision of these Terms is held by a court to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
